Terms and Conditions

1. Acceptance of Terms

By hiring the services of Musett (hereinafter "Musett", "the Studio", or "we"), the client fully accepts these Terms and Conditions. If you disagree with any provision, please do not use or contract our services. Continued use of the services implies acceptance of any published modifications.

2. Description of Services

Musett is a design studio based in Mérida, Yucatán, Mexico. We offer the following services:

  • User interface (UI) and user experience (UX) design
  • Website design and development
  • Brand identity and branding
  • Illustration and motion graphics
  • Product design consulting

The specific scope of each project is defined in the formal proposal or quote accepted by both parties.

3. Proposals and Quotes

Quotes issued by Musett are valid for 15 calendar days from the date of issue. After that period, prices and conditions may change. Acceptance of a proposal, whether in writing (email, signed contract, or digital confirmation), constitutes the formal start of the project and acceptance of these terms.

Proposals are prepared based on information provided by the client. Substantial changes to objectives, scope, or deliverables after acceptance may result in adjustments to cost and timelines.

4. Payments and Invoicing

Unless otherwise indicated in the proposal, the standard payment schedule is as follows:

  • Deposit: 50% of the total cost, due before any work begins.
  • Balance: remaining 50%, due upon project completion and before delivery of final files or website launch.

Payments must be made in the currency and by the method indicated in the proposal. Invoices are issued in accordance with applicable Mexican tax law. The Studio reserves the right to pause work if a payment is not received on the agreed date, with no liability for delays resulting from such a pause.

Payments are non-refundable unless otherwise expressly stated in the cancellation section of these terms.

5. Scope and Revisions

Each project includes the number of revision rounds specified in the proposal. A revision is understood as a consolidated set of feedback delivered in a single document or message, not as an iterative process of successive individual adjustments.

Requests that exceed the agreed scope (new sections, changes in creative direction, additional pages, unplanned features) will be quoted separately and will require client approval before being executed.

6. Timelines and Client Responsibilities

Delivery timelines are contingent on the client providing in a timely manner: content (copy, images, logos, data), feedback within agreed timeframes, and access to platforms when necessary.

Musett is not responsible for delays caused by the client's failure to provide information or approvals. If the client does not respond within 15 calendar days during any project phase, the Studio may pause or close the project, applying the cancellation conditions described in section 12.

7. Intellectual Property and Rights Transfer

All designs, illustrations, code, and materials created by Musett remain the Studio's property until full payment is received. Once the project is fully paid, the client receives the economic copyright (derechos patrimoniales) over the final deliverables, under Mexican copyright law (Ley Federal del Derecho de Autor).

Moral rights, being inalienable by their nature, remain with the author or authors at all times. Working files (original layers, licensed fonts, Studio's proprietary libraries) are not included in the deliverables unless expressly agreed otherwise.

The client guarantees that materials provided to the Studio (images, copy, trademarks) do not infringe third-party rights, and assumes full responsibility in that regard.

8. Portfolio and Use of Work

Musett reserves the right to display completed work in its portfolio, website, social media, and promotional materials, unless the client explicitly requests confidentiality in writing before the project begins. In that case, the parties will agree on a reasonable exclusivity period.

9. Confidentiality

Musett commits to treating all sensitive business information shared by the client during the project with strict confidentiality. Likewise, the client commits to not disclosing the Studio's internal methodologies, tools, or processes without express authorization. This obligation remains in force for 2 years after the conclusion of the project.

10. Warranties and Limitation of Liability

Musett warrants that services will be provided with the diligence, quality, and professionalism expected of a specialized design studio. However, the Studio does not guarantee specific commercial outcomes (sales, traffic, rankings) derived from the use of delivered designs.

In no event shall Musett's total liability to the client exceed the amount actually paid for the project in question. The Studio shall not be liable for indirect damages, lost profits, data loss, or harm resulting from the use or inability to use the deliverables.

11. Third-Party Tools and Services

Musett may recommend or use third-party tools, platforms, or services during the project (content management systems, hosting services, fonts, among others). The client is responsible for obtaining the corresponding licenses where applicable. Musett is not responsible for outages, price changes, or discontinuation of third-party services.

12. Cancellations

If the client decides to cancel the project after it has begun, the following policy applies:

  • The deposit paid is non-refundable under any circumstances.
  • If the project is cancelled after more than 50% of the work has been completed, the client must pay the full remaining balance.
  • If Musett cancels the project for reasons not attributable to the client, a proportional refund of the deposit corresponding to work not performed will be issued.

13. Force Majeure

Neither party shall be liable for non-compliance resulting from causes beyond their reasonable control, including natural disasters, pandemics, widespread digital infrastructure failures, armed conflicts, or government measures. In the event of force majeure, the affected party must notify the other as soon as possible, and the parties will agree on the necessary adjustments.

14. Modifications to These Terms

Musett reserves the right to update these Terms and Conditions at any time. Changes will be published on the website with the corresponding update date. Continued use of the services after changes are published implies acceptance of the new terms.

15. Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of the United Mexican States. For any dispute arising from their interpretation or compliance, both parties submit to the jurisdiction of the competent courts of Mérida, Yucatán, Mexico, expressly waiving any other jurisdiction that may correspond to them by reason of their present or future domiciles.
